Due diligence Also known as Prudence investigation , It refers to a series of activities in which, after investors and the target company have reached a preliminary intention of cooperation and mutually agreed upon it, the investors conduct on-site investigations and data analyses on all matters related to this investment. 。
In large-scale overseas investment projects, it is common practice to assemble a dedicated team or entrust a third-party entity to conduct due diligence. However, in small- and medium-sized mining investments, this critical step is often overlooked. Yet, due diligence is one of the most important components of risk management, and its significance cannot be underestimated. Based on my personal insights and limited experience, I have endeavored to present to my colleagues as comprehensively as possible the key points of due diligence for overseas mining investment projects. However, given my own limitations in both expertise and writing skills, I sincerely welcome any constructive criticism or corrections from my peers.
In Western countries, traditional due diligence primarily focuses on legal, tax, and financial aspects to ensure that investors have legal certainty regarding the projects they are investing in, verify the accuracy and reliability of the past profits generated by these projects, and assess potential investment returns. Nowadays, acquisitions across many industries... / Mergers and acquisitions activities are still being investigated from these three perspectives. However, given the unique characteristics and complexity of mining investment projects, if the investigation focuses solely on these three aspects, it will overlook the most fundamental issues—namely, the economic feasibility, technical feasibility, and external environmental factors of the mineral projects being invested in.
Therefore, in Western countries, due diligence for mining investment projects is more comprehensive and detailed, primarily including: ( 1 ) Adopt transparent evaluation criteria that are recognized by internationally accepted standards to analyze and determine the resource amounts and reserves of minerals; 2 ) Comprehensive project analysis, including specialized analysis of mining and beneficiation, analysis of hardware conditions, and analysis of the investment environment, etc.; 3 ) Project Acquisition / Integration issues following the merger and acquisition; ( 4 ) Forecast of product market price trends, including analysis of supply and demand trends and financial conditions; ( 5 Financial simulation analysis; ( 6 ) The three traditional elements of due diligence.
For Chinese-funded enterprises, the most critically lacking talent is individuals with experience in international mining operations. Therefore, it is crucial to develop an appropriate due-diligence checklist. Whether the enterprise organizes its own team or commissions a third party to conduct the investigation, it can follow the checklist item by item, collect relevant materials, establish comprehensive files, and then submit the consolidated findings to the highest decision-making authorities. Below, the author lists, item by item, the key points for due diligence on overseas mining investment projects:
1. Resource quantities and reserves are analyzed and determined in accordance with internationally recognized geological and mining standards.
As per the standards of the Australian Joint Ore Reserves Committee JORC ( Joint Ore Reserves Committee ) and the Canadian Securities Administrators ( CSA National Standards for Disclosure of Mining Projects, Developed and Implemented 43-101 ( NI43-101 ); among them JORC The standards have become widely recognized internationally as the classification criteria for mineral resource estimates and ore reserves. While conducting surveys of resources and reserves is not a challenge for specialized mining companies, non-mining companies need to pay extra attention. There are countless instances—both domestically and internationally—of companies consciously boosting reserve figures and improving grade indicators, making it extremely difficult to guard against such practices.
2. Mining and Selection Major Analysis
Other key factors in project production and operations include mining and beneficiation conditions. The mining conditions of the ore, the ease or difficulty of extraction, and the ore’s processability for beneficiation are all critically important. Generally speaking, it is necessary to dispatch experts with extensive experience in mining and beneficiation to the site for on-site inspections, analysis of historical data and documentation, and, if required, sample collection and comprehensive analytical testing to verify the accuracy of the data provided by the seller.
3. Professional Analysis of the External Environment
After conducting geological, mining, and ore-processing analyses of the project, it is necessary to consider a professional analysis of the external environment—including both hardware conditions such as infrastructure and construction prerequisites related to the project, as well as soft conditions like the mine area’s environmental factors, community dynamics, and political context.
One important reason why overseas mining investment projects repeatedly encounter setbacks is the neglect of hardware conditions; in some projects, the investment in external infrastructure alone can account for a significant portion of the total investment. 60-70% Not only is it necessary to build mining, beneficiation, and production systems, but also to develop infrastructure such as ports, railways, power plants, and seawater desalination systems. The sheer scale of the investment places an enormous burden on project operations; therefore, every single component of the project cannot be overlooked.
In terms of the investment environment—covering political and legal factors as well as socio-cultural factors—the political and legal environment includes aspects such as the political system, political stability, policy continuity, the comprehensiveness of laws and regulations, and the strength of the judicial system. As for the socio-cultural environment, Chinese investors have paid the price many times over; this includes the local citizens’ level of cultural and educational attainment, religious culture, and customary practices. The level of cultural and educational attainment determines the quality of the primary workforce during both the project’s construction and operation phases. It is not uncommon for religious activities or festivals to disrupt project schedules or even spark conflicts. Moreover, in some regions, mountains, rivers, and other natural features near communities are regarded as sacred entities; thus, resource development is seen as a desecration of these deities, and as a result, external access and development are strictly prohibited.
4. Acquisition / Post-Merger Integration Issues
Chinese-funded enterprises acquiring mining assets abroad / The following phenomena are commonly observed after mergers and acquisitions: ( 1 ) Emphasizing mergers and acquisitions while neglecting integration. After an M&A deal, the management system that companies should adopt to take over the acquired enterprise is often overlooked. Foreign data show that inadequate integration efforts are a major factor behind the failure of most acquisition projects. / The main reasons for the unsatisfactory M&A results; ( 2 ) Focus on business skills, neglect behavioral competence. Human capabilities can be divided into business competence and behavioral competence. In Chinese-funded overseas projects, there is often an overemphasis on individual business competence while underestimating behavioral competence. Without the requisite behavioral competence to address challenges posed by differences in culture, ethnicity, language, values, legal systems, and other factors, significant problems are likely to arise later on. 3 ) Overemphasizing delegation while underestimating local involvement. Companies have the authority to assign new teams or individuals to carry out acquisitions. / It’s perfectly reasonable for post-merger companies to engage in management and oversight. However, in the short term, we should carefully consider how to ensure a smooth transition, and in the long term, how to take root locally and achieve sustained growth. 4 ) Focus on stability, downplay adjustments. The project has completed the acquisition. / After the merger and acquisition, some companies, unable to find a suitable new team, chose to retain their original team. This approach ensured continuity of work and a smooth transition; however, this team might not be fully aligned with the Chinese-funded enterprise’s required mindset, philosophy, and behavioral capabilities.
Therefore, the acquisition / The integration challenges following a merger and acquisition are also one of the indispensable key points in the due diligence of an investment project.
5. Product Market Price Trend Forecast
The products developed by the project serve as its primary source of revenue; therefore, forecasting market prices for these products is particularly crucial. Mining investment projects have long cycles, and short-term fluctuations alone cannot serve as a reliable basis for prediction. To forecast market price trends, analysts should conduct their assessments and predictions based on at least one complete product price cycle, taking into account factors such as market supply and demand, macroeconomic industrial regulation, and the trends in the product’s value from both industrial and financial perspectives.
6. Financial Simulation Analysis
Financial simulation analysis serves as the basis for assessing whether a project can generate reliable economic returns. Key parameters in financial simulation analysis include upfront procedural costs, project construction costs, production costs, equipment depreciation, financial expenses, and revenue from production and operations.
7. The Three Elements of Traditional Due Diligence
( 1 ) Financial due diligence. When conducting financial due diligence, the first step is to gain an understanding of the project’s basic financial situation. Next, a comprehensive grasp of its accounting policies and tax policies is required. Subsequently, it is essential to investigate the reliability and authenticity of the company’s financial statements. Additionally, a thorough analysis should be conducted on the trends and influencing factors behind changes in the project’s costs and revenues, as well as the fluctuations in the project’s cash flows.
( 2 ) Tax due diligence, including investigation of tax compliance status, assessment of tax health, and provision of tax planning recommendations, etc.;
( 3 ) Legal due diligence primarily covers areas such as mining law, land law, environmental protection law, labor law, foreign exchange controls, and restrictions on mineral products.
The above content outlines the key points that, in my personal opinion, should be given careful attention during due diligence for overseas mining investment projects—issues that are commonly encountered and universally relevant. Of course, different countries and regions, as well as different projects, have their own unique characteristics that require tailored approaches. Only by conducting due diligence that is thorough, objective, accurate, and comprehensive can we provide the project decision-makers with the strongest possible support.
